• Pre-Contract Phase: Contract Risk Management and Internal Support- Review, draft, and negotiate key agreements including construction contracts, JV agreements, and subcontractor agreements before project award- Identify legal risks in contract terms and provide practical legal advice to sales and project teams- Conduct legal checks during internal approval processes (e.g., contract approval workflows)- Establish a preventive legal framework by engaging from the contract drafting stage onward• Post-Contract Phase: Legal Support During Project Execution- Legal support and advice on contract amendments and preparation of memorandums for variations, extensions, or scope changes during execution- Provide legal control and the regarded documentation (e.g., letters, notices) in relation to issues such as consequential losses, liquidated damages, payments (for both receiving/forwarding), responsibilities, property rights and other various claims- Assist in client and subcontractor negotiations on legal matters- Guide internal stakeholders on when and what to review from a legal perspective during each stage of project execution• Identification of Legal Risks in Operational Workflows and Leading Process Improvements- Identify embedded legal risks across various business functions including sales, design, procurement, execution, payment, and handover- Visualize weak points and unclear responsibilities within workflows, and lead revisions to prevent issues proactively- Propose and lead cross-functional process improvements to ensure effective legal review checkpoints- Collaborate with senior management to revise and reinforce internal rules, procedures, and approval processes• Dispute and Litigation Management- Lead initial response and internal alignment when disputes arise with clients, subcontractors, or authorities- Manage external counsel and oversee litigation, arbitration, or mediation processes- Analyze dispute cases and implement lessons learned and preventive measures across the company• Compliance and Governance- Monitor legal and regulatory developments in Thailand (e.g., construction law, labor law, commercial law) and communicate implications internally- Develop and maintain internal policies, contract templates, and governance frameworks- Plan and conduct compliance training sessions for employees include the subsidiaries• Legal Team Management- Supervise and develop existing legal team members- Strengthen collaboration with departments such as sales, construction, procurement, and finance to integrate legal support into daily operations- Promote legal team knowledge-sharing• Strategic Legal Support to Executive Management- Provide legal insights and risk assessments to executive meetings and board discussions- Support new business initiatives, joint ventures, and M&A activities from a legal standpoint- Maintain effective communication and reporting structures with the legal department at the Japan HQ

Job Purpose:To lead the legal and compliance oversight of the company to ensure business operations are conducted in accordance with the law, mitigate risks, and promote corporate governanceKey Responsibilities:- Supervise and monitor the preparation of corporate governance documents to ensure compliance with regulatory requirements- Oversee administrative operations of the Legal & Compliance department to ensure efficient workflow- Review and support the preparation of documents for submission to regulatory authorities and internal audits- Coordinate with external stakeholders- Monitor and report changes in relevant laws and regulations, and propose updates to internal documentation accordingly- Oversee the review and approval process for new vendors or contractors from a compliance perspective- Participate in planning and organizing training sessions or workshops related to legal compliance and corporate ethics- Prepare supporting documents for executive and board meetings, including presentation materials on legal and compliance matters- Review and provide recommendations on drafting internal policies and procedures to ensure legal compliance- Review and provide legal advice on draft business contracts such as construction agreements, subcontractor agreements, and procurement contracts to ensure legal compliance and minimize legal risks to the company- Supervise the preparation of documents for shareholder meetings and the Annual General Meeting (AGM)- Manage meeting schedules and coordination among executives, shareholders, and the internal legal team- Oversee the handling of legal documents, including notarization, translation, and certification by relevant authorities- Perform other duties as assigned by the Legal & Compliance Manager
